# Why Capital Jazz Collapsed

**A sourced investigation into Capital Jazz Inc., Clifford Hunte, the Capital Jazz Fest (1993–2025) and the Capital Jazz SuperCruise (2007–2026).**

**Verdict up front: the booking-concentration hypothesis is refuted for the festival and inverted for the cruise.** Capital Jazz did not die of booking the same smooth-jazz names into the ground. It moved sharply *away* from the smooth-jazz circuit after 2007 and was booking its most diverse, largest bill ever in its final festival year. It died of a balance sheet destroyed by the 2021–22 COVID cruise cancellations, never repaired, and thereafter run as a rolling float on customer deposits and merchant cash advances until the float broke.

## 1. The AG action, precisely

### The filing

**Maryland OAG Consumer Protection Division v. Capital Jazz, Inc. and Clifford Hunte**, CPD Case No. **26-018-376959**, Statement of Charges filed **21 April 2026**, announced **24 April 2026**.

Respondents: Capital Jazz, Inc. (Maryland corporation, 5907 Clifton Oaks Drive, Clarksville MD) and Clifford Hunte, its **CEO and sole shareholder** (¶4). Prosecuting: Deputy Chief Philip Ziperman and AAG Dan Kang Baker.

### Statutes invoked

- **Md. Code Ann., Com. Law § 13-303** — unfair and deceptive trade practices, as defined at **§ 13-301(1)** (false or misleading statements) and **§ 13-301(3)** (material omissions).
- **§ 13-402(c)(1)** — "It is a violation of this title to fail to adhere to any provision contained in a written assurance of discontinuance."
- **§ 13-410** — enhanced penalties for *subsequent* violations, **up to $25,000 each**.
- Filed under **§ 13-3(a)** as an administrative proceeding before the Division sitting as a quasi-judicial agency.

Two counts: **Count I**, violation of the Assurance of Discontinuance; **Count II**, cancellation of the 2026 SuperCruise. Relief sought: cease and desist, full restitution, costs of investigation, and § 13-410 penalties.

### The chain of events alleged

1. **June 2019 – 2020** — tickets sold for the 14th Annual SuperCruise, 16 Jan 2021, Royal Caribbean charter (¶9–10).
2. **Jan 2021** — CDC no-sail order; rescheduled to 14 Jan 2022. Then cancelled over Omicron (¶11).
3. Refunds not paid, or paid short and late (¶12).
4. **2 April 2024** — AOD with Royal Caribbean; RCCL refunds **>$1.3M** (¶13).
5. **25 June 2025** — AOD with Capital Jazz and Hunte. 6. **16 April 2025** — Hunte signs a full-ship charter with **MSC Cruises** for 22–29 March 2026, *before* the AOD is even executed (¶25).
7. **14 May 2025 onward** — 2026 SuperCruise promoted and sold, **with no event-cancellation insurance** (¶¶22, 26).
8. **19 Nov 2025** — MSC Notice of Termination for unpaid charter fees; cure deadline 28 Nov; not cured; charter terminated (¶27).

11. **22 March 2026** — no cruise (¶30). Consumers cannot reach the company (¶31).

The four alleged breaches of the Assurance, in the Division's own order (¶¶40–43): no restitution and no consumer list; no $50,000 payment; no event-cancellation insurance; a third cancelled cruise with no timely refunds.

### Current status

**Pending. No order, no default, no resolution as of 13 August 2026.**

At that hearing:

- Assistant AGs said they were **still waiting on financial records requested in April** — spreadsheets of money collected and refunded.
- **Hunte said he has been unable to access those records.**
- **Hunte appeared without counsel.**
- **Hunte said Capital Jazz is "on pause" and its employees are furloughed.**
- The AG's office stated **approximately 1,700 passengers had booked** the 2026 cruise and that it had **133 consumer complaints**, believed to be about half of those with refund trouble.
- Both sides due back in **September 2026**.

**On the ~1,700 figure:** it is real and AG-sourced, but it originates *at the July 2026 hearing*, not in the Statement of Charges. It is a booking count, not a count of unrefunded passengers. Complaint counts ran **62 (March 2026) → "nearly 200" (21 May 2026, [WJLA](https://wjla.com/features/i-team/number-of-complaints-against-capital-jazz-super-cruise-spike-ahead-of-maryland-ags-lawsuit-consumer-protection-division)) → 133 formal CPD complaints (July)**. The three numbers measure different things; don't blend them.

### Response from Hunte

**Total silence until forced.** WJLA, 19 March 2026: reporters went to his Clarksville house; no answer ([story](https://wjla.com/features/i-team/customers-demanding-refunds-3rd-super-capital-jazz-msc-cruise-cancelled-in-5-years-travel-insurance-claims-credit-card-dispute-charges-complaints-company-statement-trips-excursions)). Customer Lisa Carter-Owens: *"They have gone completely silent. They ghosted us."* The Baltimore Banner got no comment from his attorney ([Banner](https://www.thebanner.com/politics-power/state-government/capital-jazz-clifford-hunte-supercruise-refunds-DYOPRXDTENFK7A443NCDMTCAKA/)).

His only substantive public position is the **denial section of the 2025 AOD** (¶¶14–17): he denies violating the CPA, denies any practice of refusing refunds, and asserts *"Capital Jazz made cash refunds of $2.2 million to purchasers of tickets for the 2022 SuperCruise, issuing refunds until it exhausted its resources due to the unexpectedly high percentage of customers choosing this option over a credit for future cruises, the financial impact of the COVID-19 Pandemic on its business, and RCCL's wrongful and unanticipated seizure of the entire advance payment for the 2022 SuperCruise."* At the July hearing he added that he believes most customers already recovered money via **credit-card chargebacks he chose not to contest**.

**No cancellation notice, apology, or refund page was ever published.** capitaljazz.com still redirects to the 2025 festival page, which still reads *"Mark your calendar for next year's festival, to be held June 5-7, 2026!"* `/supercruise/2026/` returns HTTP 200 with an empty body; `/fest/2026/` is a 404.

### Related litigation, bankruptcy, corporate status

**No bankruptcy filing for Capital Jazz Inc.** — none found on CourtListener or elsewhere.

**Denson v. Capital Jazz Inc.**, D. Md. **1:22-cv-02526** — a CAFA **class action** filed 3 Oct 2022 pleading **100+ class members and over $5,000,000 in controversy**, alleging NJ and Illinois consumer-fraud, breach of contract, conversion, unjust enrichment. [Docket](https://www.courtlistener.com/docket/65397467/denson-v-capital-jazz-inc/) · [Complaint PDF](https://storage.courtlistener.com/recap/gov.uscourts.mdd.521113/gov.uscourts.mdd.521113.1.0.pdf). It quotes Capital Jazz's 24 Jan 2022 mass email offering *"REFUND OPTION. Receive a refund for the amount paid for 2022, less 3% deduction… Please allow up to 90 days"* and alleges **~146 BBB complaints**. Capital Jazz **never appeared**; clerk's default was entered twice. Yet on 20 April 2023 the court **denied default judgment and dismissed the complaint** (ECF 15/16 — scanned, no text layer; grounds not extracted). The company walked away from a $5M class exposure.

**Royal Caribbean Cruises Ltd. v. Capital Jazz Inc.**, S.D. Fla. **1:22-cv-20187**, filed **13 January 2022 — two days before the 2022 sailing** ([docket](https://www.courtlistener.com/docket/62599218/royal-caribbean-cruises-ltd-v-capital-jazz-inc/)), terminated 29 Sept 2023. Capital Jazz was defended by **Robert Hayes and Neil Quartaro of Cozen O'Connor**. Two further RCCL filings followed in July 2023 (1:23-cv-22561, 1:23-cv-22562).

**Maryland Judiciary Case Search: 46 records for "Capital Jazz," 33 for "Clifford Hunte."** The 2022–24 consumer-refund cluster runs to roughly 20 district-court suits across Howard, Anne Arundel, Baltimore and Montgomery counties plus enrolled foreign judgments. Older and more telling: **two OPEN Maryland state tax liens** (CAL03-20501, filed 9/29/2003; CAL04-05397, filed 3/9/2004), a **1997 suit against "Capital Jazz Fest 97,"** and vendor judgments including **"Broadcast Music vs Capital"** (CAL07-07142, a BMI performing-rights foreign judgment, 2007), Washington Post Company (2003), Sunbelt Rentals (2002) and Charles G. Brown Inc. (2002).

**Maryland SDAT** ([Business Express](https://egov.maryland.gov/BusinessExpress/EntitySearch)): Dept. ID **D03541265**, incorporated **24 Nov 1992**, resident agent **Clifford Hunte at his own home**. Status **REVIVED / "in good standing."** But the filing history shows **two prior forfeitures — 7 Oct 2005 and 3 Oct 2011 — each cured by Articles of Revival (2009, 2018).** Most recent annual report filed **15 April 2026, six days before the Statement of Charges**. The personal-property assessment base fell **$7,180 (2019) → $1,720 (2023–25) → $0 (2026)**.

**UCC liens — the single sharpest document in the file.** SDAT UCC search returns **7 filings, 5 of them ACTIVE**:

"CT Corporation / Corporation Service Company, as Representative" and "Financial Agent Services" are the blind filing agents used by **merchant cash advance funders**. Three of the active liens also encumber **Hunte personally**. Three were filed in a single month, February 2024. **The most recent was filed 20 August 2025 — two months after signing the Assurance, while selling 2026 SuperCruise tickets, three months before MSC terminated the charter for non-payment.**

**Artist non-payment: NOT FOUND.** No artist or booking agency appears as plaintiff in any of the 79 Capital Jazz / Hunte case records. The 2007 BMI judgment is a licensing-royalty matter, not performance fees. Worth noting though: WJLA reported that in March 2026 *"the only public notice the I-Team found was on the website of one of the performers scheduled to be on board"* — the artists knew before the promoter said anything.

## 2. The financial trajectory

### Festival pricing — steady, unremarkable inflation

Saturday/Sunday GA, advance:

That is roughly 2.5× over 17 years — about 5.5% a year, in line with the live-music sector, not a distress signal. Two things do stand out at the end: the **3-Day Pass debuted in 2024 and was priced *lower* in 2025** ($309→$295 GA, $670→$660 floor), and **Friday GA was cut from $89.50 to $79.50** for 2025. Those are the only downward moves in the entire price history. Against that, **2025 VIP packages sold out for all three days**, and Saturday sold out in 2015, 2016 and 2017.

**The one hard scale figure in the record:** Billboard boxscore for the 2007 Fest at Merriweather — **gross $1,788,778, attendance 31,094** (Billboard, 16 June 2007, p.14). The 2025 edition drew a reported 20,000+ against Merriweather's ~19,000 capacity.

### Cruise pricing — the real story

Entry-level interior, per person double occupancy, excluding the taxes/fees/gratuities surcharge:

Top suite: $2,440 (2007) → $5,950 (2023) → **$7,500 (2026 MSC Yacht Club)**.

**Deposits and the payment schedule are the mechanism that matters:** $500/cabin (2009) → $250 pp (2010) → **$1,000 pp, credit card only (2011)** → $300 pp (2012–2020) → $325 (2022–23) → $350 (2024–25) → **$425 (2026)**. Monthly or quarterly installments, final payment four to six months before sailing, refundable only for 15 days after booking and **total forfeiture thereafter**.

**The 2026 final payment was due 15 November 2025. MSC's Notice of Termination for unpaid charter fees is dated 19 November 2025.** Customer money was arriving in the same week charter money was not going out.

### Sell-through — the demand signal

Sold out with waiting lists: 2010, 2013, 2015, 2016, 2017, 2019, 2020, 2024; near sold out 2025. **2026 was soft** — as late as October 2025 nearly every cabin category still read "Available," with only three Yacht Club tiers sold out. That is the only genuine demand deterioration anywhere in the record, and it appears in the final year, after the reputational damage of two prior cancellations.

### The pre-existing thin capitalisation

Two SDAT forfeitures (2005, 2011), two still-open state tax liens from 2003–04, a BMI judgment, and a string of vendor suits from 2002 to 2017 establish that Capital Jazz was **chronically undercapitalised long before COVID**. Hunte himself told the Washington Post the 1993 festival "wasn't profitable until the third year." This was always a business run close to the line.

**Venue history** — the festival wandered far more than is generally known: Bull Run Regional Park, VA (1993–95) → **McGlachlin Park, Fort Meade MD (1996)** → Nissan Pavilion, VA (1997) → **Merriweather (1998–99)** → **U.S. Naval Academy Stadium, Annapolis (2000)** → Bull Run, VA (2001–03) → **Merriweather permanently from 2004**. Two ticketed days from 1993; first all-three-day ticketed edition **2005**; five nights in 2007. **Only 2021 shrank** — two days, one stage.

**1993–98 are the recoverable floor.** 1993, 1994 and 1998 are marked PARTIAL. 1998's list mixes 12 names read from a printed JazzTimes ad with 13 inferred from photo-gallery *filenames* (no captions) — treat those 13 as good but not proven. The ad said "24 national acts"; the reconstruction totals ~25, so it is close to complete.

### Capital Jazz SuperCruise, 2007–2026

**Correction to a common assumption:** it was not a Royal Caribbean franchise throughout. RCI 2007–09 → **Carnival 2010–15** → **Norwegian 2016–17** → RCI 2019–23 → **Holland America 2024–25** → MSC 2026. **There was no 2018 sailing** (the calendar moved from autumn to January). Editions kept numbering through the dead XIV, so there are **18 numbered editions but only 15 that sailed**.

**Circuit share: peaks at 36–38% in 2001–2005, then falls to 0% in 2024 and 7% in 2025.** The exact circuit names each year:

- **1999: 8 of 30 (27%)** — Brian Culbertson, Everette Harp, Jeff Lorber, Jonathan Butler, Kirk Whalum, Peter White, Richard Elliot, Rick Braun.
- **2005: 9 of 25 (36%)** — the true peak.
- **2024: 0 of 37.**

**Repeat rate did not rise.** It jumped once, between 1998 and 2001, as the festival matured — then oscillated between 43% and 76% for twenty-five years with no trend. **2025's 54% is lower than 2001 (81%), 2002 (74%), 2021 (76%), 2011 (69%) and 2017 (66%).**

**The bill got bigger, not smaller.** 2025 was **the largest festival lineup in the franchise's history at 54 acts**, with **25 first-time names** — the most since 2007.

**This is where concentration is real — and it is a post-COVID phenomenon.** Repeat rate roughly doubles at the 2020/2021 break, from 44% to 70–79%. Mean prior appearances more than doubles. **And the bill collapses: from 62–69 acts in 2016–2020 to 23–34 acts from 2021 on — a cut of about 60%.**

But the recycled names are **not** the smooth-jazz circuit. Circuit share on the cruise never exceeded 16% in any year. The recycled core is an in-house repertory company: **Eric Roberson (15 sailings), Tony Richards (12), Mike Phillips (10), Michael Colyar (9), Pat Prescott (7), Lenny Green (7), Kirk Whalum (6), Ken Ford (6), Ledisi (6)**, plus Keiko Matsui, Nick Colionne, Kindred the Family Soul, Regina Belle, Damien Escobar, Marsha Ambrosius, Stokley, Step Afrika! and Johnnie Steele.

Look at **2021 and 2022**: they are all but the same bill, because 2022 *was* the rescheduled 2021 sailing. And **2023** — the first cruise that actually sailed after the disaster — is 79% returnees, 7 new names, and the highest mean-prior figure in the series.

**But the conclusion the prior pass drew survives the correction, and is in fact stronger than it claimed.** Circuit share on the Fest fell from 36–38% at its 2001–05 peak to 0–7% at the end. Capital Jazz moved decisively *away* from the smooth-jazz circuit.

## 5. What it booked instead

The drift is unambiguous and it happened in two waves.

**Wave one, 2003–2007: adding soul on top of jazz.** 2003 brings Ledisi, Will Downing, Mike Phillips, The Soul Patrol; 2006 adds Kem, Dwele, Angie Stone, Eric Benét, Soulive alongside the saxophones; 2007 adds Musiq Soulchild, Isaac Hayes, Vivian Green, Kindred the Family Soul, Anita Baker and DJs. The bill doubles from 21 acts (2004) to 51 (2006 and 2007). Circuit share halves, from 38% to 18% — **not because circuit acts were dropped, but because a whole second genre was bolted on.** The site branding changes accordingly: *"The Jazz Festival with Soul!"*

**Wave two, 2016 onward: soul and R&B become the headline, jazz becomes the support.** 2016 tops with New Edition, The Isley Brothers, Blackstreet, SWV, Toni Braxton. 2018: Earth Wind & Fire, Smokey Robinson, Anita Baker, Brandy, Keith Sweat, Fantasia. 2022: Keyshia Cole, Common, Faith Evans, Rakim, DJ Jazzy Jeff. 2024: Jodeci, Ne-Yo-era R&B, Andra Day, Switch, Karyn White, **zero circuit names.** 2025: TLC, En Vogue, Dru Hill, Big Daddy Kane, Teddy Riley, Keith Sweat, The Sequence, Brownstone.

Two other changes ran alongside:

- **A pivot to serious/critical jazz at the top of the bill.** Robert Glasper (2013, 2023), Gregory Porter (2013, 2019, 2024), Esperanza Spalding (2010, 2025), Samara Joy (2025), Theo Croker and Braxton Cook (2024), Warren Wolf and The Headhunters (2025), Snarky Puppy and Diana Krall (2018). This is the opposite of a promoter retreating into a comfortable rolodex.
- **The tribute format as a booking substitute.** Phyllis Hyman and Luther (2018), Aretha (2019), Bill Withers (2021), Teena Marie (2022), Michael Jackson (2023), Marvin Gaye (2024), and in 2025 **four at once** — Weather Report, Roy Ayers, Angie Stone, plus an Al Jarreau tribute in 2017. Tributes are cheaper than the artist and let a bill grow without a fee escalation. That 2025 had four is a cost signal — but it is a signal of a promoter *managing* costs, not of one trapped by them.

## 6. Verdict

### The hypothesis is refuted

**Booking concentration did not cause the collapse of Capital Jazz.** The evidence runs the other way:

1. **Circuit dependence fell by 80% over the life of the festival**, from a 36–38% peak in 2001–05 to 0% in 2024 and 7% in 2025.
2. **The repeat rate never trended upward.** It settled around 55–65% by 2000 and stayed there. 2025 was below the long-run average.
3. **The final festival was the biggest ever booked** — 54 acts, 25 of them new to the event. That is not a promoter out of ideas or out of relationships.
4. **Demand did not flatten at the festival.** Saturday sold out 2015, 2016, 2017; VIP packages sold out for all three days in 2025; attendance was reported above 20,000. The only price cuts in the entire history (Friday GA and the 3-Day Pass, 2025) are small and equivocal.
5. **The Fest was not what failed.** No 2026 festival lineup was announced because the *company* had stopped functioning by spring 2026 — MSC had terminated the charter in November, the money was gone, and the AG filed in April. The festival was collateral damage, not the source of the problem.

The one place the hypothesis has real purchase is the **SuperCruise after 2020**, where repeat rate jumps to 65–79% and the bill shrinks by 60%. But that is **a symptom of insolvency, not a cause of it.** You book 23 acts instead of 63, and you book the ones who already know and trust you, when you cannot fund a bill. The causation runs from the cash to the lineup, not the other way.

### What actually killed it

**A pre-existing thin balance sheet, a catastrophic COVID cash event, and then four years of running the business as a float.**

**The predisposition.** Capital Jazz was undercapitalised from the start — Hunte says it wasn't profitable until 1995. Two SDAT forfeitures (2005, 2011). Two Maryland state tax liens from 2003–04 **still open today**. A BMI judgment in 2007. Vendor suits across two decades. This company had no reserve, ever.

**The shock.** The 2021 sailing was fully sold; deposits and installments were in hand and, in a full-ship charter model, largely *already paid over to the cruise line*. COVID cancelled it twice. Royal Caribbean, on Hunte's account, "seized the entire advance payment." Capital Jazz refunded until it ran out — Hunte says **$6.0 million**, including **$2.2 million** on the 2022 cruise alone — then stopped. The AG had to bring Royal Caribbean itself to the table in April 2024 to release **$1.3 million** direct to consumers.

**The float.** From 2022 forward there is a clear pattern of financing operations with other people's money:
- **Five active UCC-1 blanket liens**, all filed 2024–25, all through the blind-representative agents that merchant cash advance funders use, three of them also encumbering **Hunte personally**. Three filed in the single month of February 2024. **The last filed 20 August 2025 — two months after promising the Attorney General he would carry 100% event-cancellation insurance, and while selling 2026 cruise tickets he had no insurance for.**
- **Forward ticket deposits as working capital.** The 2026 deposit rose to $425 pp with a final payment due 15 November 2025. MSC's termination notice for unpaid charter fees is dated **19 November 2025** — four days later. The customers' final payments were arriving exactly as the charter was collapsing for non-payment.
- **And then he kept selling.** MSC terminated in November and sent a cease-and-desist on 13 December. Capital Jazz **kept taking money into January 2026** (SOC ¶29). At that point the company was no longer financing a cruise. It was taking deposits for a cruise it knew could not sail.

**The failure sequence, in one line:** an undercapitalised promoter lost its float to COVID, never rebuilt it, financed the gap with merchant cash advances and next-year deposits, signed a 2026 charter it could not fund, missed the charter payments, lost the ship, kept selling tickets anyway, and stopped answering the phone.

### What the evidence does *not* support

- **Artist-cost inflation.** No evidence. Fest ticket prices rose ~5.5%/yr, in line with the market; the bill grew in size; and there is no artist or agency in any of the 79 court records.
- **Death or retirement of key draws.** Longtime pillars did die (George Duke 2013, Al Jarreau 2017, Roy Ayers, Angie Stone) — but Capital Jazz absorbed each with a tribute set and a bigger bill.
- **Competition from newer events.** Nothing found. The festival was selling out as late as 2025.
- **Festival demand collapse.** Contradicted by sell-outs and the record 2025 bill.

### Two loose threads worth pulling

1. **Denson v. Capital Jazz** (D. Md. 1:22-cv-02526). A $5M+ CAFA class action that the company defaulted on and *still* escaped — the court denied default judgment and dismissed on 20 April 2023. The memorandum is a free scanned PDF at https://storage.courtlistener.com/recap/gov.uscourts.mdd.521113/gov.uscourts.mdd.521113.15.0.pdf with no text layer. Whatever it says explains why 1,700 people in 2026 had no class remedy waiting for them.
2. **The identity of the merchant cash advance funders.** The five active UCC-1s name only representative agents. The filing images, which carry the secured party and collateral description, sit behind a paid Maryland SDAT portal. Those documents would show exactly how much of Capital Jazz was sold off, and when.

**One caution for anything published from this.** Three numbers circulate and mean different things: **103 consumers / $642,240** is the AG's April 2026 pleaded figure and is explicitly "likely only a portion." **~1,700** is a *booking* count the AG gave orally at the July 2026 hearing. **133** is the AG's formal complaint count at that hearing, against "nearly 200" reported in May. Do not add or blend them.
